Paid Resource License

Effective Date: 1/5/2026

This License covers all paid digital products from Memoriam, LLC ("Memoriam"), including ebooks, guides, workbooks, frameworks, templates, and proprietary tools ("Paid Products").

By purchasing, downloading, or using a Paid Product, you agree to the following terms.

OWNERSHIP & INTELLECTUAL PROPERTY

All Paid Products are Memoriam’s property. Purchase grants access, not ownership.

LICENSE GRANT

You receive a limited, non-exclusive, non-transferable, revocable license to:

Use Paid Products for your own professional or educational use.
Use Paid Products as tools in your work with families or end clients.
Share Paid Products one-on-one or with specific clients for review, education, or decision-making. Do not share with large groups or on public platforms.

This is a use license, not a distribution license.

STRICT LIMITS ON SHARING

You may share Paid Products only if:

Sharing is one-to-one or with a small group, not broadcast or automated.
No fee is charged for the content itself.
The content is shared in full and unmodified.
Memoriam branding, copyright notices, and attribution remain intact.
Do not store content in drives, portals, or libraries accessible to anyone beyond the intended recipients.

If sharing scales, it violates this License.

PROHIBITED USES

You may not:

Resell, sublicense, rent, or redistribute Paid Products.
Upload Paid Products to websites, learning platforms, or client portals.
Incorporate Paid Products into courses, memberships, or programs.
Modify, adapt, translate, or create derivative works.
Use Paid Products to train AI models or datasets.
Claim ownership or authorship of Paid Products.

Paid access does not mean reuse rights.

ORGANIZATIONAL & WHOLESALE USE

Wholesale members and organizations may:

Share Paid Products internally with staff.
Share externally only as permitted in Section 3

Any broader use requires a written agreement with Memoriam.

NO GUARANTEES OR ADVICE

Paid Products are informational only. We provide no guarantees or legal advice.

TERMINATION

Violation results in immediate termination. All use must stop and all copies deleted.

GOVERNING LAW

This License is governed by New York law.
